N Seven increases equity stake in Guinness Nigeria via NGX

Major shareholder N Seven Nigeria Limited has increased its equity holding in Guinness Nigeria Plc after purchasing 550,092 ordinary shares through transactions executed on the Nigerian Exchange Limited (NGX).

The acquisition, disclosed in a regulatory filing to the exchange, was completed across several price levels ranging from N356.40 to N384.80 per share, with the transactions recording an aggregate volume-weighted average price of N367.40 per share.

The latest share purchase highlights continued equity accumulation by major investors in the Nigerian brewing company amid efforts to strengthen its long-term market position.

Details contained in the filing showed that the transactions involved different lot sizes. The smallest transaction comprised five shares acquired at N359 per share, while the largest tranche involved 498,973 shares purchased at N384.80 per share.

Another significant transaction saw 30,000 shares change hands at N375 per share, while additional purchases were executed at prices including N356.60, N357, N362.80, N365.90 and N374 per share.

Tolaram’s Guinness Nigeria Investment

The transaction comes after the major ownership restructuring involving Guinness Nigeria in 2024, when global beverage company Diageo Plc agreed to sell its 58.02 per cent controlling interest in the Nigerian brewer to Singapore-based Tolaram Group.

Under the transaction, Tolaram acquired the controlling stake while entering into long-term licensing and royalty arrangements with Diageo to support the continued production, distribution and expansion of the Guinness brand in Nigeria.

N Seven Nigeria Limited, an investment vehicle within the wider Tolaram ecosystem, has subsequently emerged as a significant shareholder in Guinness Nigeria, with its latest open-market acquisition further increasing its equity exposure to the brewer.

The additional investment comes as Guinness Nigeria continues to operate amid challenging macroeconomic conditions, including foreign-exchange volatility, rising production costs and higher prices of raw materials affecting Nigeria’s fast-moving consumer goods industry.

The latest acquisition could therefore be viewed as a further indication of the investor’s confidence in Guinness Nigeria’s long-term recovery prospects, operational performance and ability to defend its position in Nigeria’s competitive beverage market.
